Terms of Service

Welcome to Ready & Argent Consulting Services. By engaging with our business transformation and coaching solutions, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you ("Client") and Ready & Argent Consulting LLC ("Company," "we," "us," or "our").

Scope of Services

Our consulting services include but are not limited to business transformation consulting, executive coaching, leadership development, strategic planning, change management, and organizational development. All services are provided in accordance with professional consulting standards and industry best practices.

Service Delivery

• Services will be delivered according to the agreed-upon project timeline and methodology
• We reserve the right to modify service delivery methods to ensure optimal results
• Client participation and cooperation are essential for successful service delivery
• All deliverables will be provided in the format specified in the service agreement

Client Obligations

As a client of Ready & Argent Consulting, you agree to the following responsibilities:

• Accurate Information: Provide complete, accurate, and timely information necessary for service delivery
• Active Participation: Engage actively in the consulting process and attend scheduled meetings and sessions
• Resource Access: Provide reasonable access to personnel, facilities, and information required for project completion
• Timely Communication: Respond promptly to requests for information, feedback, and approvals
• Implementation Support: Support the implementation of recommended strategies and solutions

Prohibited Activities

Clients are prohibited from:

• Using our services for any unlawful or unethical purposes
• Sharing confidential methodologies or proprietary materials with third parties
• Attempting to reverse-engineer our consulting methodologies
• Interfering with our service delivery to other clients

Company Intellectual Property

All methodologies, frameworks, tools, templates, and proprietary materials developed by Ready & Argent Consulting remain our exclusive intellectual property. This includes but is not limited to:

• The Ready-Argent transformation methodology
• Proprietary assessment tools and frameworks
• Training materials and coaching resources
• Strategic planning templates and processes

Client Intellectual Property

We respect and acknowledge your intellectual property rights. Any pre-existing client intellectual property remains your exclusive property. We will not use, reproduce, or disclose your confidential information except as necessary to provide consulting services.

Work Product Ownership

Deliverables specifically created for your organization become your property upon full payment. However, we retain the right to use general knowledge, experience, and non-confidential insights gained during the engagement for future client work.

Service Limitations

Ready & Argent Consulting provides professional advice and recommendations based on our expertise and the information provided by clients. However, we cannot guarantee specific business outcomes or results. Success depends on various factors including market conditions, implementation quality, and external circumstances beyond our control.

Liability Cap

Our total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim. This limitation applies regardless of the legal theory under which damages are claimed.

Excluded Damages

Under no circumstances shall Ready & Argent Consulting be liable for:

• Indirect, incidental, or consequential damages
• Lost profits or business opportunities
• Business interruption or loss of data
• Third-party claims or actions

Payment Schedule

Payment terms are specified in individual service agreements. Standard terms include:

• Initial retainer due upon contract signing
• Progress payments based on milestone completion
• Final payment due within 30 days of project completion
• Monthly invoicing for ongoing coaching engagements

Late Payment Policy

Invoices not paid within 30 days of the due date will incur a late fee of 1.5% per month. We reserve the right to suspend services for accounts more than 60 days overdue until payment is received.

Expenses and Additional Costs

Client is responsible for reimbursing reasonable expenses incurred in service delivery, including travel, accommodation, and materials costs when pre-approved in writing.

Confidentiality Commitment

Ready & Argent Consulting is committed to protecting your privacy and maintaining the confidentiality of all client information. Our comprehensive Privacy Policy governs how we collect, use, and protect your personal and business information.

Data Protection

We implement industry-standard security measures to protect your data and comply with applicable privacy regulations including GDPR and CCPA where applicable. All client information is treated as confidential and is not shared with third parties without explicit consent.

Information Usage

Client information is used solely for service delivery purposes. We may use anonymized and aggregated data for research and methodology improvement, but never in a way that identifies specific clients or their confidential information.

Resolution Approach

Ready & Argent Consulting is committed to resolving any disputes or concerns through professional and collaborative means. Our dispute resolution process follows these steps:

Governing Law

These Terms of Service are governed by the laws of the State of New York, without regard to conflict of law principles. Any legal proceedings shall be conducted in the appropriate courts of New York County, New York.

Limitation Period

Any claims or disputes must be brought within one (1) year of the date when the claim or dispute arose, or such claim shall be forever barred.
